Terms of Service

1. Acceptance of Terms

By accessing or using MOORLI AdDiagnostic (“Service”), a product of MOORLI LLC, you agree to be bound by these Terms of Service (“Terms”), along with our accompanying Privacy Policy and Disclaimer. If you do not agree with any of these Terms, you may not use the Service.

2. Description of Service

MOORLI AdDiagnostic is an automated analytics and diagnostic tool designed to evaluate advertising account data and provide an informational audit report. The Service analyzes connected third-party data (including but not limited to Google Ads) using software algorithms to produce automated insights, grades, and recommendations. The Service does not provide personalized consulting, legal, financial, or regulatory advice.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use this Service. By using the Service, you represent that all information provided is accurate and that you have the authority to connect and analyze the Google Ads account(s) in question.

4. Use of the Service

• Use MOORLI AdDiagnostic only for lawful purposes and in compliance with applicable advertising, privacy, and regulatory requirements.
• Do not reverse-engineer, resell, or reproduce any part of the Service or reports.
• Do not use the Service to analyze accounts you do not have legitimate access to, or interfere with its operation.

5. Account Access and Security

Access to your audit is secured through Google Sign-In (OAuth). MOORLI AdDiagnostic requests read-only permissions and never modifies, edits, or publishes ads. You are responsible for maintaining the security of your Google account credentials.

6. Confidentiality

We will treat all data retrieved from your connected Google Ads account as your confidential information. We will not disclose this information to any third party except as required to provide the Service (as outlined in our Privacy Policy) or as required by law.

7. Payments and Refunds

All payments are processed via Stripe. The $499 audit fee covers a one-time diagnostic report for a single Google Ads account. Because each audit is automatically generated and customized upon payment, all sales are final once processing begins, except in the case of technical failure preventing report delivery.

8. Delivery and Support

Audits are typically delivered within minutes of payment. Support covers issues related to payment processing, account connection, and report generation only. Once a report has been successfully generated and delivered, support for that order is considered complete. The Service does not include one-on-one consultation, implementation help, or campaign management.

9. Data Accuracy and Third-Party Platforms

Audit findings depend on the accuracy and completeness of the data received from third-party platforms such as Google Ads. MOORLI LLC is not responsible for errors, omissions, or delays in data supplied by these third parties.

10. Intellectual Property

All intellectual property rights in the Service, including the audit methodology, algorithms, and report templates, are owned by MOORLI LLC. Users may use generated reports solely for internal business purposes and may not reproduce, sell, or publicly distribute them without written consent.

11. Termination

You may terminate your agreement to these Terms by ceasing to use the Service. We reserve the right to suspend or terminate your access to the Service at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users of the Service, us, or third parties.

12. Disclaimer of Warranties

The Service and reports are provided “AS IS”, without warranties of any kind, express or implied. MOORLI LLC disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. Use of the Service is at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law, MOORLI LLC and its affiliates shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use of the Service or reliance on any report. Your sole remedy for dissatisfaction with the Service is to discontinue use.

14. Indemnification

You agree to indemnify and hold harmless MOORLI LLC, its affiliates, and personnel from any claims, damages, or liabilities resulting from your use of the Service, violation of these Terms, or breach of applicable laws.

15. Changes to Terms

MOORLI LLC may update these Terms from time to time. The revised version will be posted on this page with an updated effective date. Continued use after changes indicates acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Minnesota, USA.
